Who Owns Nestlé?

Nestlé is owned by its shareholders. Nestlé S.A. is listed in Switzerland with no controlling shareholder and no parent. But the British company is not a Swiss import at all: Companies House shows Nestlé UK Ltd was incorporated on 3 March 1897 as Rowntree, and still trades from the Rowntree factory site in York. The company that makes KitKat is legally the York confectioner Nestlé bought in 1988. Ownership verified 6 September 2026.

Who owns the Nestle brand?

Nestlé S.A. is a public company registered in Vevey, Switzerland, and listed on the SIX Swiss Exchange. It has no parent, and no shareholder holds a controlling stake — the largest are institutional investors and index managers, none anywhere near control.

The founding Nestlé family has had no controlling interest for well over a century. The company merged with the Anglo-Swiss Condensed Milk Company in 1905 and has been widely held ever since.

The British business is NESTLÉ UK LTD. (00051491), registered at Haxby Road, York. Its person with significant control is Nestlé Holdings (U.K.) Plc (00462438), holding 75% or more of shares and votes.

Parent company and ultimate owner

The chain is short: Nestlé UK Ltd sits under Nestlé Holdings (U.K.) Plc, which sits within the Swiss group, with Nestlé S.A. at the top and nothing above it.

Because Nestlé S.A. is Swiss and listed there, its shareholders are disclosed under Swiss rules rather than at Companies House. There is no ultimate owner to name — the honest answer is that Nestlé owns itself and answers to a dispersed shareholder base.

Brand owner vs operating company

Nestlé S.A. owns the brands globally. Nestlé UK Ltd manufactures and sells here, and its registered activities — cocoa and chocolate confectionery, sugar confectionery, coffee — describe exactly what York has made for a century.

Some Nestlé brands are held in joint ventures rather than owned outright, and the register shows one: Lactalis Nestlé Chilled Dairy Company Limited (05849220), a partnership with the French dairy group. A Nestlé brand on a shelf is not always a wholly Nestlé-owned business.

When the ownership changed

The British company’s previous names are the story:

• ROWNTREE MACKINTOSH P L C — recorded from incorporation on 3 March 1897 to 30 June 1987
• ROWNTREE LIMITED — to 22 November 1991
• NESTLÉ UK LTD. — from 22 November 1991

Rowntree of York was a Quaker family firm and one of the great British confectioners, the maker of KitKat, Aero, Smarties, Yorkie, Rolo, Polo and Fruit Pastilles. In 1988 Nestlé acquired it after a contested takeover battle with Jacobs Suchard — a bid fought hard in York and in Parliament, and one of the defining foreign takeovers of a British company in that decade.

The company was not dissolved. It was renamed three years later, and it is the entity through which Nestlé trades in Britain today. So the KitKat you buy is made by a company that has existed since 1897 and was British for ninety-one years of that.

As with the Cadbury and Kraft entry elsewhere on this site, the register preserves what the branding conceals: the acquired company survives, under a new name.

Three frequent errors worth correcting. KitKat in the United States is made by Hershey under a licence predating Nestlé’s ownership, so the same brand has different makers in different countries. Nestlé does not own Cadbury — that is Mondelez. And Nestlé sold its US confectionery business to Ferrero in 2018, so a number of brands people associate with it are no longer its.

Nestlé S.A.’s own ownership is not there. It is a Swiss company disclosing to the Swiss market, and any shareholder percentage is a snapshot from a disclosure date. The 1988 takeover is a matter of public record rather than a current filing. Companies House does not verify most filed information.
