Who Owns Monzo?
Monzo has no controlling owner. It is a privately held UK bank funded by venture capital, and its holding company files a statement at Companies House that it knows of no registrable person with significant control — because no investor holds more than 25%. Passion Capital is reported as the largest at just under a quarter, with Tencent, Accel, General Catalyst and others below that, plus tens of thousands of crowdfunding shareholders. Who owns Monzo?
Monzo is owned by its investors, none of whom controls it. That is the honest answer, and it is unusual enough to be worth stating plainly: most banks resolve to a parent group, and Monzo does not.
Two companies matter. Monzo Bank Limited (09446231), incorporated 18 February 2015, is the bank. Monzo Bank Holding Group Limited (14785367), incorporated 6 April 2023, sits above it as the group holding company.
Legal entity and parent group
The holding company has no active PSC. Instead it carries a statement, notified 12 September 2023, that the company knows of no registrable person or relevant legal entity with significant control.
That filing is not evasive and it is not a gap. It is the correct disclosure for a company whose shareholder base is spread across many investors, none of whom reaches the 25% threshold at which the register begins to record people.
A single ceased entry sits alongside it: Gary Andrew Hoffman, Monzo’s chairman, was recorded as a PSC at 75%+ from 6 April 2023 until 12 September 2023. A five-month entry that appears at incorporation and disappears is characteristic of a holding company being formed — one person holds the initial share while the structure is set up — rather than any real period of ownership.
Regulatory status and authorised firm
Monzo Bank Limited holds a UK banking licence and is authorised by the Prudential Regulation Authority and regulated by the PRA and the Financial Conduct Authority. Deposits are protected by the FSCS up to the applicable limit.
This is the distinction that matters more to a customer than the shareholder register. Monzo is a bank, not an e-money institution — unlike several app-based competitors — so money held with it carries deposit protection rather than safeguarding. Being authorised says nothing about who owns the firm, and this site keeps the two apart: the FCA Register is evidence of regulatory status, and company filings are evidence of ownership.
Shareholders and controlling interests
No shareholder reaches the PSC threshold, so none appears on the register. Reported positions:
- Passion Capital — the earliest backer, reported at just under 25%
- Tencent, Accel, General Catalyst — reported in the region of 5–12% each
- CapitalG and GV (both Alphabet), HongShan, GIC, Hedosophia and others
- Crowdfunding investors — around 40,000 individuals, diluted to a low single-digit percentage in aggregate
The crowdfunding shareholders are worth noting. Monzo raised repeatedly from its own customers, so a substantial number of ordinary people hold shares directly — an uncommon shareholder base for a bank, and one that has been progressively diluted by later institutional rounds.
Monzo has raised around $1.8 billion in total and was valued at roughly $5.2 billion at its 2024 round. Valuation is not ownership, and a company can be worth billions while having no owner in the controlling sense.
Group companies and brands
The group is small and self-contained: the holding company, the bank, and supporting entities. Monzo does not own other consumer brands, and it is not owned by a larger banking group — so unlike brands sharing a licence with a parent bank, there is no separate institution behind it and no shared FSCS limit to consider.
