Who Owns Asda?
Asda is majority-owned by TDR Capital, the British private equity firm, with Mohsin Issa and Walmart holding minority stakes. Companies House records the shift precisely: three TDR Capital partnership entities were entered as controllers of the Asda holding company on 31 October 2024, replacing a four-year-old statement that said no registrable person existed at all. Ownership verified 6 September 2026.
Who owns the Asda brand?
The shops are run by ASDA STORES LIMITED (00464777), incorporated 19 February 1949 and registered at Asda House, Leeds. Its person with significant control is Asda Group Limited (01396513), holding 75% or more of shares and votes since 6 April 2016.
The register also carries the company’s original name: Associated Dairies Limited, used until 25 August 1987. That is the second half of the brand name on the public record — Asda began as the Asquith family’s business merged with Associated Dairies in the 1960s, and the register kept the older name for another two decades.
Parent company and ultimate owner
The chain recorded at Companies House:
- Asda Stores Limited (00464777) — the operating company
- Asda Group Limited (01396513) — 75%+
- Bellis Acquisition Company Plc (12855280) — 75%+, notified 16 February 2021
- Bellis Finco Plc (12855336) — 75%+
- TDR Capital General Partner V L.P. (SL035224), TDR Capital General Partner III Limited (SC442089) and TDR Capital General Partner Limited (SC243882) — all notified 31 October 2024
Unusually for a private equity structure, the register does eventually name the buyer. Three separate TDR partnership vehicles appear together, which is how fund ownership is recorded when several funds of different vintages hold the same asset — each is a general partner acting for its own investors.
Reported holdings are roughly 67.5% TDR, 22.5% Mohsin Issa and 10% Walmart. Those percentages come from the parties’ own announcements, not from Companies House, which records only that control sits above 75% at each step.
Brand owner vs operating company
Asda Stores Limited holds the trading business — the stores, the staff, the George clothing range. The Bellis companies above it exist to hold and finance the 2021 purchase and trade nothing.
The register shows how those vehicles are assembled. Zuber Issa is recorded as a person with significant control of Bellis Acquisition Company for exactly two days, from 3 to 5 September 2020, before being replaced by Bellis Finco. That is a formation artefact — an individual holds the founding share while the structure is built — and the same two-day pattern appears on Chelsea’s record elsewhere on this site. It is not a period of sole ownership.
When the ownership changed
Asda was bought by Walmart in 1999 and sold in a leveraged buyout completing in February 2021 to the Issa brothers and TDR Capital, with Walmart keeping a minority stake. The register marks that day: Asda Holdings UK Limited (03918551), the Walmart-era holding company, ceased as controller on 16 February 2021, the same date Bellis Acquisition was notified.
The more revealing entry is later. From 8 September 2020, Bellis Finco carried a statement that it knew of no registrable person or relevant legal entity — the register’s formal way of saying nobody qualifies. That statement was withdrawn on 31 October 2024 and the three TDR entities entered in its place, one day before Zuber Issa’s exit completed and TDR became majority owner. For nearly four years the UK register held no named controller for Asda at all.
Related brands in the same group
Asda owns George, its clothing brand, and acquired most of the UK and Ireland forecourt business of EG Group in 2023 — a purchase from the Issa brothers and TDR, who controlled both sides. Mohsin Issa remains chief executive of EG Group.
TDR Capital’s wider portfolio spans other sectors; those companies share a manager rather than a business. Walmart’s 10% is a legacy of the sale, not control — Asda has not been a Walmart subsidiary since 2021.

Every company number, date and cessation above is from the Companies House PSC register and can be checked step by step.
Two limits. The percentages attributed to TDR, Mohsin Issa and Walmart are reported figures from the parties, since the register records bands rather than exact stakes. And a general partner entity is named for the funds it manages — the economic interest belongs to those funds’ investors, typically pension schemes and institutions, not to TDR itself. Companies House does not verify most filed information.
