The buyer was Gordon Brothers, the American investment firm, which took the chain from Poland’s Pepco Group for a nominal sum — then put it through a court-sanctioned restructuring that closed stores. Who owns Poundland today?

The company is POUNDLAND LIMITED (02495645), incorporated 25 April 1990 and registered at Midland Road, Walsall.

Its person with significant control is 1903 Peach Bidco Limited, at 75% or more of shares and votes with the right to appoint and remove directors, notified 12 June 2025.

“Bidco” is not a business. It is the conventional name for a company formed to make an acquisition, and its appearance is the clearest single signal on the register that a company has just been bought. “Peach” is the transaction’s codename — the eighth such codename this site has found, after Blueco (Chelsea), Bellis (Asda), Chromium (Cadbury), Blazing Star (Boots), Recon Football (Aston Villa), Alpha Prema (Formula One) and Airport Development and Investment (Heathrow).

Ultimate parent and corporate structure

Above the Bidco sits Gordon Brothers, an American firm that specialises in distressed retail and asset-backed lending. The register names the UK vehicle and stops.

Pepco Group, the Warsaw-listed owner since 2016, retained a minority interest as part of the restructuring — so the seller did not entirely leave.

A £1 price is not a valuation. It means the business was worth less than its liabilities, and the buyer was taking on obligations rather than paying for value. That is the standard shape of a distressed sale, and it is why the transaction was followed immediately by a restructuring plan — a court-sanctioned procedure under the Companies Act that lets a company impose revised terms on landlords and creditors, provided a judge approves. Poundland’s plan was approved by the High Court and closed dozens of stores.

The register also holds a name swap: PEPCO VAUCLUSE LIMITED (03484379) was previously named Poundland International Limited. The name has moved on; the company has not.

Major shareholders or controlling persons

No individual controls Poundland. It is held through Gordon Brothers’ funds, and as with every private equity holding covered on this site, the economic interest sits with the funds’ investors while the firm directs the business.

Reporting in 2026 indicated Gordon Brothers was exploring an exit. That is a report of a process, not a transaction, and this page does not assert that Poundland is being sold again.

What the register does not establish is Gordon Brothers, Pepco or the £1. It names UK holding companies and stops before reaching the funds — so the identification of the buyer, the price and Pepco’s retained minority all rest on the parties’ announcements rather than on any filing.

The restructuring plan is a matter of public record in the High Court, not at Companies House, which does not verify most filed information.

Ownership history and changes

Poundland was founded in 1990 by Dave Dodd and Steven Smith, opening its first shop in Burton upon Trent with everything priced at £1.

  • 2002 — sold to Advent International.
  • 2010 — sold to Warburg Pincus.
  • 2014 — floated on the London Stock Exchange.
  • 2016 — acquired by South Africa’s Steinhoff, which collapsed the following year in one of the largest accounting scandals in European corporate history.
  • 2021 — the surviving business is listed in Warsaw as Pepco Group.
  • 12 June 2025 — sold to Gordon Brothers for £1.

Six owners in twenty-three years, including two private equity firms, a flotation, a collapsed South African conglomerate and a Polish listing. Very few British retailers have passed through as many hands.

The single-price model that gave the chain its name has also gone — Poundland has sold goods above £1 for years, which is the commercial problem underlying everything above.

Related companies and brands

Poundland trades under its own name and previously operated the Dealz brand in Ireland and Poland, which stayed with Pepco.

It is not connected to Poundstretcher, Home Bargains, B&M, The Range or Wilko — all separately owned.
